Affiliate Program – Terms & Conditions

These Affiliate Program Terms & Conditions (“Agreement”) form a legally binding contract between you (“Affiliate,” “you,” or “your”) and Leo Eternal LLC, a U.S.-based company (“Company,” “we,” “our,” or “us”).

By joining our Affiliate Program, accessing your affiliate dashboard, or promoting our products through your unique referral link, you agree to all terms contained herein.

1. Program Overview

The Leo Eternal™ Affiliate Program (“Program”) allows approved affiliates to earn commissions for qualified purchases made by customers who visit our site using your unique referral link.
Tracking, attribution, and performance reporting are managed through our third-party provider, PromoteKit.

This Program is intended for individuals and businesses who want to promote Leo Eternal™ products in a lawful, ethical, and brand-aligned manner.

2. Eligibility

You must:
1. Be at least 18 years old.
2. Have the legal capacity to enter into contracts.
3. Submit accurate contact information and payment details.
4. Comply with all applicable U.S. federal, state, and local laws, including advertising and tax regulations.

We reserve the right to approve, reject, or remove any affiliate at our sole discretion.

3. Enrollment & Approval

To enroll, you must:
1. Create an affiliate account through PromoteKit.
2. Agree to these Terms & Conditions.
3. Provide accurate legal and payment information.
4. Complete all required tax documentation (see Section 13).

Submitting an application does not guarantee approval.
We may reject applications for any reason, including but not limited to brand mismatch, inappropriate content, misleading marketing, compliance concerns, or incomplete documentation.

4. Referral Links & Tracking

Affiliates will be assigned a unique referral link via PromoteKit.
A referral is credited when:
1. A customer clicks your unique link,
2. Visits our website, and
3. Makes a qualifying purchase during the active tracking window.

The tracking window, cookie duration, and reporting are determined by PromoteKit’s systems.
Only purchases that are successfully tracked by PromoteKit are eligible for commission.

Direct manual crediting of referrals is not offered.
If PromoteKit does not register the referral, the Company cannot override tracking.

5. Qualified Purchases

A “Qualified Purchase” is any sale:
• Successfully tracked through PromoteKit
• Fully paid by the customer
• Not refunded, canceled, or disputed
• Not made using the Affiliate’s own referral link for the sole purpose of earning commission (self-referrals for genuine purchases are allowed, but commissions may not be paid)

We reserve the right to disallow any transaction that appears fraudulent, abusive, or intentionally manipulated.

6. Commission Structure

Affiliates earn a commission on the total revenue of qualifying purchases according to the rates published inside PromoteKit.
Commission percentages may vary by product, promotional period, or affiliate tier.

We may modify commission rates at any time.
Changes will not retroactively apply to commissions already earned.

7. Discounts to Referred Customers

Customers who visit through a valid referral link may automatically receive a promotional discount at checkout.

The discount percentage and eligibility may change at any time and does not affect the affiliate’s commission rate unless explicitly stated.

Affiliates may not promise, advertise, or guarantee customer discounts beyond those officially provided by the Company.

8. Payment of Commissions

Commission payments:
• Are issued through PromoteKit or a Company-approved payment provider.
• Are made only after the refund/chargeback window closes.
• Require that all tax documents have been completed and approved (Section 13).
• Require that the Affiliate’s payout information is accurate and valid.

Minimum Payout Threshold:
The current minimum payout threshold is displayed inside your PromoteKit dashboard.

The Affiliate is responsible for ensuring that payment details are up to date.
Unclaimed or undeliverable payments may be forfeited after 180 days.

9. Prohibited Conduct

You agree NOT to:
1. Use spam, bots, bulk messaging, or unsolicited emails.
2. Bid on Company trademarks or branded search terms in advertising platforms.
3. Misrepresent Company products or make medical, financial, or performance claims.
4. Modify, mask, shorten, or hide your referral link in misleading ways.
5. Use coupons, discount codes, or promotions not explicitly provided by the Company.
6. Operate fraudulent or deceptive websites, landing pages, or funnels.
7. Purchase products using your own affiliate link solely to earn commissions.

Violation of any prohibited conduct may result in immediate suspension and forfeiture of unpaid commissions.

10. Brand Guidelines

Affiliates may not:
• Alter Company logos, trademarks, or brand assets.
• Impersonate Company staff or claim any formal partnership.
• Use offensive, discriminatory, or harmful content in promotions.

Affiliates must maintain high ethical standards and align with Leo Eternal’s brand positioning (premium, trust-based, privacy-first).

11. Compliance with Laws

Affiliates must comply with all applicable laws including but not limited to:
• U.S. Federal Trade Commission (FTC) endorsement guidelines
• Advertising disclosure requirements
• Data privacy regulations
• Intellectual property laws

Affiliates must clearly disclose the affiliate relationship (e.g., “This post contains affiliate links. If you use my link, I may earn a commission.”).

12. Termination

We may suspend or terminate your participation in the Program at any time for any reason, including but not limited to:
• Non-compliance with these terms
• Fraudulent activity
• Failure to provide required tax documentation
• Harmful behavior toward the brand or customers

Upon termination:
• All referrals cease immediately
• All unpaid commissions may be forfeited if caused by a violation
• Access to the affiliate dashboard will be revoked

13. Tax Documentation (Mandatory)

No completed form = No payout.

Because the Company is a U.S.-based legal entity, all affiliates must submit appropriate IRS forms before any commission can be paid.

13.1. U.S. Persons (Citizens, Residents, Entities)

Required form: IRS Form W-9
• Must be complete, accurate, and signed
• Must match the payout recipient’s legal name
• Reviewed for validity before any payouts

13.2. Non-U.S. Persons

Required form: IRS Form W-8BEN (individuals)
or IRS Form W-8BEN-E (foreign entities)
• Must be complete, accurate, and signed
• Certifies non-U.S. tax status
• May be valid for up to 3 years

13.3. Mandatory Condition

The Company will not issue any affiliate commission—regardless of amount—until a valid and approved tax form is on file.

If you fail to submit the required tax form within 60 days of earning your first commission:
• Your affiliate account may be paused
• Earned commissions may be held indefinitely
• Continued failure may result in forfeiture

14. Limitation of Liability

The Company is not liable for:
• Technical failures of PromoteKit or third-party systems
• Browser/cookie issues affecting referral tracking
• Errors caused by incorrect affiliate configuration
• Lost profits or indirect damages

Our maximum aggregate liability under this Agreement shall not exceed the total commissions paid to you in the preceding 12 months.

15. Modifications to the Program

We may modify any part of this Program at any time, including:
• Commission rates
• Discount structure
• Tracking methods
• Eligible products
• Program rules

Continued participation after changes constitutes acceptance of the updated terms.

16. Governing Law

This Agreement is governed by the laws of the United States and the State of Delaware, without regard to conflict of law principles.

Any disputes shall be resolved exclusively in the state or federal courts of Delaware.

17. Entire Agreement

This Agreement constitutes the entire understanding between the parties and supersedes all prior communications, proposals, and agreements, whether written or oral.
